Terms & Conditions
Scope of Work
· Initial Production: We agree to an initial production session (e.g. 1–4 days, as per chosen tier) where we capture new footage (video, audio) based on your brief. After this, all video deliverables will be made from that initial material (the “Vault”). Any new shooting beyond the initial session is an add‑on (see Add‑On Shoots below).
· Deliverables: Each month we will deliver the number of edited videos specified in your package (e.g. 2 videos). Each video will be in digital format and suitable for online ads/social media. We will also deliver any agreed short cuts (e.g. 15–30s social reels) included in your tier.
· Performance Reporting: Monthly reports (via Loom) are included: showing key metrics (impressions, CTR, cost per lead, ROAS, etc.) and recommendations.
Revision Policy
· Included Revisions: Each delivered video includes one round of minor revisions (e.g. changing text overlays, swapping out music, minor timing tweaks) at no extra charge. Additional requests beyond scope (new scenes, major re-editing) are considered extra work.
· Extra Revisions: Further edits or entirely new versions of the video are billed at $80 per hour. For example, if you want 3 more cuts from the footage or a significant concept change, we will quote separately.
· Feedback Timeframe: You must submit all revision requests or feedback within 5 business days of receiving the draft. After that, the video is considered approved, and further changes will incur fees. This ensures timely production and avoids endless back‑and‑forth.
Ownership & License
· Final Videos: Upon full payment, you receive a non-exclusive license to use the final edited videos in your marketing (ads, social, website).
· Raw Footage: Raw footage and project files remain the property of Watiffilms. Should you require full ownership or additional edits beyond our package, raw files can be transferred at an agreed fee. This is standard practice, as raw footage has significant value.
· Promotional Use: We reserve the right to use any produced content in our portfolio, marketing, and social media (with your permission). We expect and appreciate credit on public posts when feasible.
Payment Terms
· Retainer Fee: The agreed monthly fee is invoiced 30 days in advance. Payment is due by the due date on the invoice. (No work will commence on a new month until payment is made.)
· Setup Fee: A one-time setup fee of $500 is payable upfront to cover initial ad account audit and onboarding tasks (creative brief, campaign setup, brand research). This is charged in month 1.
· Late Payment: Invoices not paid within 15 days of due date will incur a late fee of 1.5% per month of the outstanding balance.
· Price Adjustments: We reserve the right to review and adjust retainer pricing annually. Any change will not affect existing contracts until renewal.
Cancellation & Termination
· Minimum Term: Clients are encouraged to commit to at least 3 months to see meaningful results (advertising campaigns require time to optimize). After 3 months, the agreement continues monthly until either party ends it.
· Notice Period: Either party may terminate with 30 days’ written notice. Upon termination, the client is responsible for payment of all work performed up to the end date. Any unused services (e.g. prepaid month with fewer deliverables delivered) will be forfeited unless agreed otherwise.
· Final Deliverables: If cancelled, you will receive all fully completed videos and reports. Unfinished work will not be delivered, and any deposit or prepaid amounts covering that period will be retained as a cancellation fee.
Client Responsibilities
· Single Point of Contact: You should designate one person (manager or owner) as the main contact for feedback and approvals. This avoids confusion and speeds up revisions.
· Timely Feedback: To stay on schedule, you agree to provide consolidated feedback within 5 business days of drafts. Delays in feedback may push timelines or incur extra costs.
· Materials & Access: The client must supply any existing logos, branding assets, permission for any locations, and ensure our team has access (physical or digital) as needed. Watiffilms is not responsible for delays caused by missing client materials or access.
· Compliance: Client-provided materials (images, music, text) must be owned or licensed by the client. The client indemnifies Watiffilms against any copyright or trademark claims arising from provided content. We will use royalty-free music/stock only.
Add‑On Production Shoots
· Refresh Shoots: We offer on-location filming days at a discounted retainer add‑on: $600 for a full day, $350 for a half day (up to 4 hours)[1]. Travel beyond metropolitan areas may incur extra charges. These shoots are booked in advance and cover filming only; editing of new footage follows the existing schedule (e.g. will appear in next month’s videos).
· New Concepts or Campaigns: Any project requiring a completely new concept, script, or extensive pre-production (e.g. multi-location commercial) falls outside the monthly fee and will be quoted as a separate project.
Liability & Performance Disclaimer
· No Guarantee: We aim to improve your campaign’s performance but cannot guarantee specific outcomes (e.g. sales or leads) as many factors are outside our control. We commit to using best practices and data to optimize your ads.
· Limitation of Liability: Watiffilms’s total liability for any claim related to these services is limited to the amount paid under this agreement. We are not liable for indirect or consequential damages.
· Force Majeure: Watiffilms is not responsible for delays or failures caused by events beyond our control (e.g. platform outages, natural disasters, pandemics).
Dispute Resolution and Escalation
· Good Faith: Any disputes will first be addressed in good faith negotiation between the client’s contact and our account manager.
· Mediation/Arbitration: If unresolved within 30 days, parties may pursue mediation or arbitration in Sydney, NSW. The prevailing party may be entitled to recover reasonable legal fees.
· Termination Trigger: We reserve the right to terminate service immediately if invoices go unpaid by more than 30 days, or if the client’s conduct is abusive or violates agreed terms.
